We advise clients on all aspects of employment law, including the legal aspects of company pension schemes. We deal with the employment aspects of transactions including pre- or post-transaction reorganization, transfer of undertakings rules and integration matters. We draft and negotiate the labor law-relevant clauses in the sale and purchase agreements as well as employment and service contracts with the management, including (retention) bonus schemes and equity participations.
Our practice further includes advising on dismissals of individual employees and on larger workforce redundancies, including required negotiations with the works council and/or the trade union. We advise on labor law compliance matters, e.g. regarding the establishment of European works councils. Further topics of advice are individual and collective bonus schemes, working time models as well as works councils’ participation rights, the protection of IP rights and restraints of competition. Of course, we also represent our clients in labor courts and in proceedings with public authorities. Last but not least, we give seminars on various aspects of German employment law for management members of our clients.
